THE PARTIES HEREIN DECLARE THE FOLLOWING

1.- That , whom shall be referred to as the “PRODUCER”, is the holder of the rights to exploit the film entitled , which shall be hereinafter referred to as the FILM.

2.- That ISMAEL MARTIN, whom shall be referred to hereinafter as the “DISTRIBUTOR”, is interested in the partial transfer of the rights held by the PRODUCER for distribution in film festivals, thus both parties, by mutual agreement, grant this contract which shall be governed in accordance with the following

TERMS

FIRST. - The PRODUCER assigns (on a non-exclusive basis) to the DISTRIBUTOR, the international rights of promotion, distribution and exploitation of the FILM in film festivals around the world.

The term festival means any kind of contest, demonstration, competition, week, exhibition, market and, in general, any similar celebration aimed at the promotion and advertise of audiovisual works, as well as activities that without fundamentally supposing film projections collaborate in a relevant way to the promotion of cinematography and audiovisual arts.

SECOND. - The PRODUCER hereby states that both the rights it assigns, and the promotional materials for its exploitation, are free of charges, levies, and withholdings. This transfer implies authorization to publish fragments that will not exceed 10% of the total length of the short film, documents and photographs of the work on the Internet or in promotional materials.

THIRD. - The assignment of rights for distribution in festivals is set for a period of TWELVE MONTHS, starting from the month following registration at a maximum of 10 festivals. The DISTRIBUTOR shall distribute the FILM through film festivals, both national and international, during this time, with a minimum of 300 inscriptions for short films, based on a distribution strategy, previously agreed with the PRODUCER. The price is set at 2.900€ plus VAT (a total with VAT of 3.509€), which includes 150€ that will be used for paying registration fees.

FOURTH.- The DISTRIBUTOR will not receive any commission from the net income received by the work as a result of the exploitation of the assigned rights in festivals.

FIFTH.- The PRODUCER shall deliver to the DISTRIBUTOR the material required for its promotion and distribution, as well as the necessary projection copies. The DISTRIBUTOR shall provide the PRODUCER with a platform for monitoring film festival registrations and shall be responsible for registering them on the registration platforms.

SIXTH.- The DISTRIBUTOR undertakes to distribute the work in its original continuity and duration, and consequently may not introduce cuts, insertions or modifications, unless authorized by the PRODUCER. If these cuts, insertions or modifications are made when the film is shown at festivals, the organizers of the festival will be held responsible.

SEVENTH.- If either party breaches the terms, conditions, warranties, duties or obligations reflected in this contract, or if the breach cannot be remedied, or if it fails to remedy the breach within twenty-one (21) days after notice of such breach, the other party shall immediately terminate this contract by notifying the other party by e-mail.

EIGHTH. - In compliance with current regulations on the protection of personal data, Regulation (EU) 2016/679 of April 27, 2016 (GDPR), Organic Law 15/1999 of December 13 (LOPD) and Royal Decree 1720/2007 on the development of the LOPD, I inform the PRODUCER that the personal data provided shall be treated by Gestión de Festivals SL (Data Controller). The purpose of the data processing will be the maintenance, development, control and execution of the contractual relationship that, within the framework of the provision of the services identified in the object of the contract, you maintain with Gestión de Festivals SL. The data will be kept for the duration of the commercial or mercantile relationship. Once this service has been completed, personal data will be stored, duly blocked, as established by the regulations.

The PRODUCER is informed to be entitled to withdraw the consent to process the data at any time and that, if the party exercises this right, the contract will have to be terminated under the terms set forth therein since the data processing is essential for the execution of the contract. You may also exercise your rights of access, rectification, deletion and portability of your data and those of limitation or opposition to treatment by contacting Gestión de Festivales SL domiciled at c/ Princesa 31, planta 2, puerta 2, 28008 Madrid, Spain or sending an email to info@selectedfilms.com. If you believe that the processing of personal data does not comply with current regulations, you are entitled to file a complaint with the Supervisory Authority (www.agpd.es).

Both parties grant and sign this contract, after reading in full, which they declare to understand and agree with the contents.
